1 Acceptance of Terms
Welcome to Zylink Corp. By creating an account, accessing, or using any of our products — including Clid Cloud, Clid Business, Clid Workspace, Friday F.ai, Plutous Pay, or our website at zylinkcorp.com.ng — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.
If you are using our services on behalf of a business (e.g., as an owner, employee, or contractor), you represent that you have the authority to bind that business to these Terms.
2 Description of Services
Zylink Corp provides a suite of cloud-based software products for Nigerian and African businesses. Our current product offerings include:
- Clid Cloud — backend-as-a-service (storage, database, email, AI) for developers and businesses
- Clid Business — online store builder with payments, orders, bookings, AI assistant, and marketing tools. Includes 16 industry-specific templates: store, restaurant, barbershop, spa, bakery, pharmacy, tailor, events, school, church, art, portfolio, music, solar, electrician, poultry
- Clid Workspace — productivity suite (documents, sheets, slides, tasks, calendar)
- Friday F.ai — AI assistant with chat, image generation, and workflow automation
- Plutous Pay — subscription billing and payment management
We may add, modify, or discontinue products at any time. Material changes will be communicated via email at least 30 days in advance.
3 Your Account
To use most of our services, you must create an account. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security of your account credentials (password, passkeys, magic-code sessions)
- Notifying us immediately of any unauthorized access at security@zylinkcorp.com.ng
- All activities that occur under your account, whether authorized or not
- Being at least 16 years old (or having parental/guardian consent if younger)
- Providing valid payment information for paid plans
We reserve the right to suspend or terminate accounts that violate these Terms, present a security risk, or are inactive for more than 24 months.
One person or business may not create multiple free-tier accounts to circumvent usage limits. We may merge or close duplicate accounts at our discretion.
4 Acceptable Use
You agree NOT to use our services to:
- Violate any Nigerian law, including but not limited to fraud, money laundering, terrorism financing, or intellectual property infringement
- Sell illegal goods or services (drugs, weapons, counterfeit items, regulated goods without licenses)
- Sell counterfeit, pirated, or stolen goods
- Engage in phishing, spam, or unsolicited commercial email/SMS
- Distribute malware, viruses, or malicious code
- Attempt to access data you're not authorized to access
- Reverse-engineer, decompile, or disassemble our software (except as permitted by applicable law)
- Interfere with the proper functioning of our services (DDoS, scrapers, automated abuse)
- Impersonate another person or business
- Host adult content, hate speech, or content that incites violence
- Use our AI features to generate content that is illegal, harmful, deceptive, or infringes others' rights
- Resell, sublicense, or white-label our services without written permission
Violation of these rules may result in immediate account suspension, data deletion, and reporting to Nigerian authorities where appropriate. We may also pursue civil or criminal action.
5 Plans & Pricing
We offer several subscription plans, with current pricing published at business.zylinkcorp.com.ng/#pricing:
- Free: ₦0/month — limited features, suitable for testing and very small businesses
- Starter: pay-as-you-go pricing — for businesses just getting started
- Business: ₦3,500/month — full features for growing businesses
- Managed: ₦15,000/month — priority support, advanced features, custom domain
- Enterprise: custom pricing — for large operations with specific needs
All paid plans include a 7-day free trial — no charge during trial. On day 8, your saved card is automatically billed for the first month. You can cancel anytime during the trial at no cost.
We may change our prices with at least 30 days' notice by email. Existing subscribers keep their current price for the remainder of their billing cycle; the new price applies on the next renewal.
6 Billing & Payments
By subscribing to a paid plan, you authorize us to charge your designated payment method (card, bank transfer, or Flutterwave-authorized method) for all applicable fees.
- Billing cycle: monthly, billed on the same date each month as your original subscription
- Auto-renewal: subscriptions auto-renew unless canceled before the renewal date
- Currency: all prices are in Nigerian Naira (₦) unless otherwise stated
- Payment processor: Flutterwave processes all payments on their PCI-DSS Level 1 certified infrastructure. We never see or store your card number.
- Failed payments: if a payment fails, we'll retry for 7 days. After 7 days, your account is downgraded to Free and your storefront shows a "billing issue" notice to customers (not down).
- Platform fee: we charge 1.5% per transaction on customer orders (capped at ₦2,000) on paid plans. Free plan is 3%. This is deducted from your payout, not added to customer pricing.
- Payouts: funds settle to your Flutterwave sub-account within 24 hours of customer payment, per Flutterwave's standard settlement schedule.
- Taxes: prices are inclusive of Nigerian VAT where applicable. You are responsible for any income tax obligations arising from your use of our services.
7 Refund Policy
We offer the following refund terms:
- 7-day free trial: if you cancel during the trial, you are not charged. No refund needed.
- Monthly subscriptions: refunds are available within 7 days of a renewal payment, provided you haven't used paid features during that period. After 7 days, no refund for that billing cycle.
- Annual subscriptions: pro-rated refunds available for unused full months (e.g., cancel after 4 months → refund for 8 months).
- Customer refunds (your customers, not you): handled by you directly. We provide the tools (refund button in Orders) but you set your own refund policy with your customers.
- Chargebacks: if you initiate a chargeback without first contacting us, we may suspend your account pending investigation. Contact billing@zylinkcorp.com.ng first — we usually resolve disputes within 48 hours.
To request a refund, email billing@zylinkcorp.com.ng with your account email and the reason. Approved refunds are processed to the original payment method within 5-10 business days.
8 Your Content
You retain all ownership rights to content you upload to our services — including business information, product catalogs, images, customer data, and AI chat history. We claim no ownership of your content.
By uploading content, you grant Zylink Corp a limited, non-exclusive, worldwide, royalty-free license to:
- Host, store, and display your content on our servers and CDN to provide the service
- Process your content through our AI systems to generate the responses you request (e.g., Lana AI answering your questions about your business)
- Make your storefront publicly accessible at the URL you choose
- Aggregate anonymized metrics (e.g., "X products were created on Clid Business this month")
You are solely responsible for ensuring you have the rights to upload and display all content on your storefront. We may remove content we believe violates third-party rights or these Terms, after notice to you (unless it's clearly illegal, in which case immediate removal may be necessary).
9 Intellectual Property
All Zylink Corp software, branding, designs, and documentation are protected by Nigerian and international intellectual property laws. This includes, but is not limited to:
- The "Zylink Corp", "Clid", "Friday F.ai", "Plutous Pay", and "Lana" trademarks and logos
- Our website design, source code, and visual design language
- Our product names, marketing copy, and product documentation
- The Clid Business template designs (16 industry-specific storefronts)
You may not:
- Use our trademarks to imply endorsement, partnership, or affiliation without written permission
- Copy, modify, or distribute our software or branding for competitive purposes
- Remove or alter any copyright, trademark, or proprietary notices
- Register domain names that contain our trademarks (e.g., "clidsomething.com")
You may use our branding to indicate you use our services (e.g., "Powered by Clid Business" with a small logo on your storefront) — but you may not imply we endorse you specifically.
10 AI-Generated Content
Our AI features (Friday F.ai, Lana AI assistant, storefront chat bots) generate content using third-party AI models. Important notices:
- Accuracy: AI-generated content may contain errors. You are responsible for verifying any AI output before relying on it (especially for business decisions, financial calculations, or customer communications).
- Bias: AI models may reflect biases from their training data. We mitigate this through prompt engineering and model selection, but you should review AI outputs critically.
- Ownership: AI-generated content you create belongs to you. We claim no ownership of outputs from your prompts.
- Training: we do NOT use your private business data, customer data, or chat history to train AI models. Our AI providers (Groq, OpenRouter, Google Gemini) have their own data handling policies — see our Privacy Policy for details.
- Prohibited uses: you may not use our AI features to generate content that is illegal, defamatory, threatening, harassing, or infringes intellectual property. Doing so may result in immediate account suspension.
- Disclosure: when AI-generated content is shown to your customers (e.g., a chatbot reply on your storefront), we may include a small "AI" indicator. This is to maintain trust and is required by emerging AI regulations.
11 Third-Party Services
Our services integrate with several third-party platforms. We are not responsible for the actions, availability, or policies of these third parties. Specifically:
- Flutterwave: processes all payments. We are not liable for Flutterwave's payment failures, settlement delays, or account suspensions.
- Google: powers Google sign-in. We are not liable for Google's service availability or access decisions.
- Cloudflare: hosts our infrastructure. We are not liable for Cloudflare outages, even if they cause downtime for your storefront.
- AI providers (Groq, OpenRouter, Google Gemini, Pollinations): provide AI model inference. We are not liable for AI model unavailability, content filters, or output quality.
- Resend, Termii: deliver emails and SMS. We are not liable for delivery failures due to recipient inbox issues, spam filters, or carrier blocking.
If a third-party service fails in a way that materially affects your use of our services, we'll work to restore functionality as quickly as possible, but we are not liable for indirect losses (lost sales, customer dissatisfaction, etc.).
12 Disclaimers
Our services are provided "as is" and "as available," with all faults and without warranties of any kind — express, implied, or statutory. To the maximum extent permitted by law, Zylink Corp disclaims all warranties, including:
- Merchantability, fitness for a particular purpose, and non-infringement
- Continuous, uninterrupted, or error-free operation
- Accuracy of data, AI output, or analytics
- Compatibility with any specific device, browser, or third-party service
- That our services will meet your specific business requirements
- That defects will be corrected within any specific timeframe
We do not warrant that our services are free of harmful components or that your data will never be lost. You are responsible for maintaining backups of critical business data outside our platform.
13 Limitation of Liability
To the maximum extent permitted by Nigerian law, in no event shall Zylink Corp be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business opportunities, or goodwill
- Loss of data, including but not limited to customer records, product catalogs, or AI chat history
- Damages resulting from service interruptions, data breaches, or unauthorized access
- Damages resulting from third-party actions (Flutterwave, Cloudflare, AI providers, etc.)
- Damages resulting from your own misuse of our services
Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim (or ₦50,000, whichever is greater). This limitation applies even if we were advised of the possibility of such damages.
14 Indemnity
You agree to indemnify, defend, and hold harmless Zylink Corp, its officers, directors, employees, and contractors from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of our services in violation of these Terms
- Your violation of any law or third-party rights (including IP infringement)
- Content you upload to our platform
- Your interactions with your customers (orders, refunds, disputes)
- Any fraudulent or illegal activity conducted through your account
We reserve the right, at our own expense, to assume exclusive defense of any matter subject to indemnification by you. You may not settle any matter without our written consent.
15 Term & Termination
These Terms begin when you create an account and continue until terminated.
By you
- You may cancel your subscription anytime from Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of the current billing period.
- You may delete your account entirely from Settings → Account → Delete Account. This permanently removes your data within 30 days (per our Privacy Policy).
By us
- We may suspend or terminate your account immediately for violations of Section 4 (Acceptable Use).
- We may terminate your account with 30 days' notice for any other reason, refunding pro-rated unused fees.
- We may terminate free accounts at any time without notice.
On termination
- Your access to our services ends immediately
- Your storefront goes offline (visitors see "Store unavailable")
- We retain your data for 30 days to allow you to export it, then permanently delete it
- Outstanding fees remain payable; we reserve the right to pursue collection
- Provisions that by nature should survive (indemnity, IP, dispute resolution) remain in effect
16 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Specifically:
- Nigeria Data Protection Act 2023 and NDPR 2023
- Cybercrimes (Prohibition, Prevention, etc.) Act 2015
- Companies and Allied Matters Act (CAMA) 2020
- Federal Competition and Consumer Protection Act 2018
- Consumer Protection Council Act
Any disputes will be resolved in the courts of Rivers State, Nigeria, unless otherwise agreed in writing.
17 Dispute Resolution
We're committed to resolving disputes fairly and quickly. Before going to court:
- Step 1 — Contact us: email legal@zylinkcorp.com.ng with details of the dispute. We'll respond within 7 days with a proposed resolution.
- Step 2 — Negotiation: we'll engage in good-faith negotiation for up to 30 days. We may schedule a video call or in-person meeting in Port Harcourt.
- Step 3 — Mediation: if negotiation fails, we'll submit to mediation by the Lagos Chamber of Commerce International Arbitration Centre (LACIAC) under their mediation rules.
- Step 4 — Arbitration: if mediation fails, the dispute is referred to a single arbitrator appointed by LACIAC, conducted in Port Harcourt, in English. The arbitrator's decision is final and binding.
- Step 5 — Court: only if all above fail may either party file suit in a competent Nigerian court.
Nothing in this section prevents either party from seeking urgent injunctive relief from a court where delay would cause irreparable harm.
18 Changes to Terms
We may update these Terms from time to time. When we do:
- Minor changes: (clarifications, contact info, pricing updates) — effective immediately, posted on this page.
- Material changes: (new limitations, changes to billing, new restrictions) — we'll email all active users 30 days before they take effect.
- Continued use: if you continue using our services after a material change takes effect, you're deemed to accept the updated Terms.
- Version archive: previous versions remain available at /terms/v1.
